Terms of sale.
The simple rules for working together. Short on purpose.
Last updated: 31 October 2026
1. Who these terms apply to
These terms apply to every service sold by Tom Ghys, trading as sygh (“I”, “sygh”), to professional clients (“you”). My services are meant for businesses and professionals, not for consumers. By accepting a quote or starting a Grow subscription, you accept these terms.
2. My services
I offer three services, described on my website and detailed in each quote:
- Define: a brand audit and positioning, delivered as a strategy document with a call before and after.
- Build: a complete visual identity based on your strategy, with optional extras.
- Grow: ongoing design work, handled as a queue of requests, billed month by month.
If the website and a quote differ, the quote applies.
3. Quotes and orders
For Define and Build, I send a written quote after the intro call. A quote is valid for 30 days. The order is placed when you accept the quote in writing (an email is enough). The price of the quote is fixed: I don’t change it during the project unless you ask for something that isn’t in the quote, in which case I send a new quote first.
Prices are in euros. VAT is not applicable (article 293 B of the French Tax Code).
Launch offer prices (Build at €4,000, Grow at €3,000 per month) apply to orders placed before 31 December 2026, while places are available.
4. How Define and Build projects run
The project starts once I have received your payment and what I need from you (brief, access, existing files). From that day, I aim for about 2 weeks for Define and about 5 weeks for Build. These are target dates, and they move if feedback or materials reach me late.
- Define includes a kick-off call and a debrief call. I correct factual mistakes if there are any. The findings and recommendations are my professional analysis, so they are not open to rounds of revisions.
- Build includes 3 rounds of revisions. A round is one consolidated set of feedback from you on what I delivered. Extra rounds, or changes of direction after you approved a stage, are quoted separately.
5. How Grow works
- You send as many requests as you like. I work on them one at a time, in the order you choose.
- Once a task is active and the brief is clear, the first delivery comes within 48 business hours. Revisions follow the same pace.
- Grow is billed monthly in advance and renews every month. There is no minimum commitment.
- You can stop at any time by email. Cancellation takes effect at the end of the month already paid. I don’t refund a month that has started.
- The launch price of €3,000 per month stays the same as long as you keep paying month after month without a break. If a month is skipped or the subscription stops, coming back is at the standard price (currently €4,000 per month).
- The number of Grow clients at the same time is limited, so I confirm availability before a subscription starts.
- If I change the price of Grow, I tell you at least 30 days before it applies to you.
6. Payment
Payment is made in full, by bank transfer, when the quote is accepted (Define and Build), and monthly in advance for Grow. Work starts once payment is received. Another arrangement, such as instalments, can be agreed with you in the quote.
Invoices are payable on receipt unless the invoice says otherwise. Late payment incurs a penalty at three times the legal interest rate, plus a fixed recovery fee of €40 (French Commercial Code, art. L441-10). I may pause work on any project while an invoice is overdue.
7. Who owns the work
Once you have paid in full, you own the final deliverables created for you, for all uses, worldwide. This does not cover:
- elements that existed before the project, or that I use for several clients (my tools, templates and methods);
- third-party elements, such as fonts, stock images or mockups, which have their own licences. I tell you which ones apply.
Concepts and explorations you didn’t choose stay with me, and I won’t use them for another client.
I may show the finished work in my portfolio, on my website and on social media, unless we agreed otherwise in writing before the project started (for example in the quote).
8. How I work, including AI
I use AI tools as part of my process, alongside other design tools. The creative direction, the choices and the quality of the final deliverables stay with me, and I remain responsible for them. The law on AI-generated material is still changing, so I can’t guarantee that every element of a deliverable can be protected by copyright or registered as a trademark. If your project has specific constraints about the use of AI, tell me before the quote.
9. Your responsibilities
You make sure you have the right to use everything you give me (texts, logos, images, files). I do not carry out trademark or legal searches: if I propose a name, a logo or a tagline, checking that it is available and can be registered is up to you.
10. Subcontractors and confidentiality
I may bring in senior designers or specialists from my network. They are bound by the same confidentiality as I am, and I remain responsible for the work towards you.
Both of us keep confidential any information that is not public and is shared during the project, and use it only for the project.
11. Liability
I do my best to deliver good work on time (an obligation of means). My liability for any claim related to a service is limited to the amount you paid for that service. I am not liable for indirect losses, such as lost revenue or lost opportunities. Neither of us is liable for delays caused by events outside my control.
12. Ending a project
Either of us can end a contract if the other seriously breaches these terms and doesn’t fix it within 15 days of a written notice. If you cancel a Define or Build project before work has started, I refund what you paid. Once work has started, there is no refund, and you keep everything delivered up to that point.
13. Personal data
I handle personal data as described in my privacy policy.
14. Law and disputes
These terms are governed by French law. If there is a disagreement, we first try to settle it by talking. If that fails, the courts of Lille, France, have jurisdiction.
15. Changes
I may update these terms. The version that applies to you is the one in force on the day you accepted your quote or started your subscription.
